These Terms and Conditions ("Terms") govern the provision of consulting, freelance general management, and recruitment services (collectively, "Services") provided by Michael Bombardiere trading as Chase Hunt ("Provider") to the client ("Client"). By engaging the Provider's Services, the Client agrees to be bound by these Terms.
Consulting Services: Provider will provide consulting services as agreed upon in a separate Proposal. The Proposal will detail the specific deliverables, timelines, and fees associated with the consulting engagement.
Freelance General Management Services: Provider will act as a Freelance General Manager, providing operational management, strategic planning, and related services as outlined in the service agreement. This may include, but is not limited to, action plan development, dashboard implementation, process optimization, and team management.
Recruitment Services: Provider will provide recruitment services as outlined in the flat fee recruitment service description, including candidate sourcing, screening, interviewing, and offer management.
Consulting Services: Fees will be as specified in the Proposal. Payment terms will be outlined in the invoice.
Freelance General Management Services: Fees will be agreed upon in a service agreement, and payment will be made according to the agreed schedule.
Recruitment Services: A flat fee will be charged for the recruitment service, as agreed upon prior to commencement. Recruitment fees do not include advertising costs. These costs will be covered by the Client or invoiced in addition to the recruitment fee, unless otherwise agreed in writing.
The provider reserves the right to increase service fees. The Client will be provided with one (1) month notice prior to any fee increase. Any increase or adjustment if fees is at the sole discretion of the Provider unless otherwise noted in the Proposal or service agreement.
Payment terms will be outlined in the invoice.
All payments are due within 7 days of the invoice date, unless otherwise agreed.
Late payments may be subject to interest charges.
All fees are exclusive of applicable taxes.
The Client will provide accurate and complete information necessary for the Provider to perform the Services.
The Client will cooperate with the Provider and provide timely feedback.
The Client will adhere to the agreed-upon timelines and payment schedules.
In the case of recruitment, the client is responsible for all final hiring decisions.
The Provider will perform the Services with reasonable skill and care.
The Provider will maintain confidentiality of Client information.
The Provider will adhere to agreed-upon timelines and deliverables.
For recruitment, the provider will adhere to all applicable equal opportunity employment laws.
Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the provision of the Services.
This obligation of confidentiality will survive the termination of the agreement.
Any intellectual property created by the Provider during the provision of the Services will remain the property of the Provider, unless otherwise agreed in writing.
The Client is granted a non-exclusive license to use the deliverables for their intended purpose.
The Provider shall not be liable to the Client (whether in contract, tort or otherwise) for any loss (including but not limited to loss of profits and consequential loss) of any kind whatsoever arising out of the supply of or failure to supply services as set out in the Proposal.
Nowithstanding the above, if the Provider is found liable for any claim arising from the provision of the Services will be limited to the lesser of;
the fees paid by the Client, or
the actual loss
The Provider will not be liable for any indirect, consequential, or incidental damages.
Either party may terminate the agreement upon 30 days' written notice, unless otherwise specified in the Proposal or service agreement.
The Provider may terminate the agreement immediately if the Client breaches these Terms.
Upon termination, the Client will pay for all Services rendered up to the date of termination.
For recruitment services, if the hired candidate is deemed unsuitable by the client and leaves within 3 months of their start date, the Provider will provide a free replacement candidate. This guarantee is contingent on the client having followed the agreed onboarding, and performance management procedures.
These Terms will be governed by and construed in accordance with the laws of New South Wales (NSW), Australia.
Any disputes arising from these Terms will be resolved between the parties in the first instance.
If the dispute cannot be resolved between the parties, it may be referred to a court in the appropriate jurisdiction within New South Wales, Australia.
These Terms may be amended in writing by mutual agreement of the parties.
These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain
in full force and effect.
